Preparing for your Annual General Meeting in 2011 – listed companies

Overview

Nabarro outlines the decisions and actions that listed companies need to consider as they prepare for 2011 annual general meetings (AGMs). Key topics for listed company boards to think about are:

• Whether the whole board should stand for re-election at the AGM (for FTSE-350 companies);

• The resolutions to be put to the meeting; and

• Remuneration and financial reporting issues.

The biggest changes in 2011 stem from the introduction of the new UK Corporate Governance Code, which replaced the Combined Code for accounting periods beginning on or after 29 June 2010. Whilst companies with a 31 December year end do not have to report against the new Code yet, many companies are moving towards reporting against it on a voluntary basis.
