While deals may vary in size, value, structure, timing or the industry involved, transactions in recent months have been strikingly similar, with share deals being the rule and asset deals the exception.

• Against the background of economic uncertainty in which ascertaining the future income of a company has become impossible, placing a value on the assets or shares of a given company remains a challenge in M&A transactions.
• More than ever, buyers are seeking greater protection from risks. Standard market practice is for the sellers to make certain representations and warranties, and to hold the buyer and/or the company harmless from any loss incurred by either one as a result of a breach of such representations and warranties.
