FTC announces proposed changes to the HSR Premerger Notification Rules

Overview

On August 13, 2010, the U.S. Federal Trade Commission (FTC) released for public comment proposed revisions to the Hart-Scott-Rodino Premerger Notification Rules (the HSR Rules)
and the Notification and Report Form(the Form).

According to the FTC, the purpose of the proposed changes is to streamline the Form and to require the submission of certain additional information to aid the initial antitrust reviews by the FTC and the U.S. Department of Justice, Antitrust Division.

Although some of the proposed changes would decrease the burden of completing the Form, other proposed modifications may significantly increase the burden on filing parties, particularly private equity firms.
