Overview

This extensive reference guide from Hogan Lovells provides new directors of UK companies with an introduction to the main duties they owe to their company under the Companies Act 2006.

The law on directors' duties has undergone an upheaval in recent years, with the Companies Act 2006 codifying and altering a regime which was previously set out in common law. In accordance with the aims described above, this note does not undertake a comparison of the new regime with the old, but simply sets out the law as it stands at present (June 2010).
