Corporate Review: Transparency Directive, AIM Rules and Market Abuse

Overview

In the February 2010 edition of Corporate Review, disclosure is once again in the spotlight.

CESR is proposing to broaden the scope of the Transparency Directive to require disclosure of financial instruments of similar economic effect to shareholdings and entitlements to acquire shares, such as contracts for differences; if these proposals are adopted, an expanded disclosure regime similar to the UK regime could be implemented in other Member States.
