Corporate Asia news: companies ordinance rewrite, Japanese GAAP and proving professional investor status

Overview

As mentioned in the January 2011 issue of the Corporate Newsletter, parts 2 and 5 of the Companies (Amendment) Ordinance 2010 are now in force. The provisions in these have amended the Companies Ordinance to facilitate online applications for company registration which will, for instance, enable the Registrar of Companies to issue certificates of incorporation through electronic means. DLA Piper looks at how this will impact company incorporation and business registration.

This briefing also considers the rising number of overseas companies seeking a second issuing on the Hong Kong Stock Exchange, and looks at the Securities and Futures Commission’s consultation to refine the requirements for evidencing whether a person qualifies as a ‘professional investor’ under the Securities and Futures Rules.
