Asia corporate update - Hong Kong notifiable transactions; latest developments in the PRC

Overview

This edition of DLA Piper's Asia corporate newsletter focuses on procedures for classifying notifiable transactions in Hong Kong. Under the Listing Rules, transactions (in particular acquisitions and disposals) by an issuer may be subject to notification requirements. Such requirements may include the mere notification to the Hong Kong Stock Exchange and the publication of a HKEx announcement, although in some instances it may also involve the issue of a circular to the issuer's shareholders and their approval.


Additionally, this briefing outlines the latest developments in China, including new State Administration of Industry and Commerce rules on debt-for-equity swaps for companies and recently published MOFCOM conditional merger filing approvals.
